What this is
A sole proprietorship is not a separate legal entity — it is you, trading under a business name. There is no incorporation, no registrar, and no annual filing with the MCA. That is its whole appeal: you can be trading within a week at minimal cost.
Because there is no separate entity, there is also no separate registration certificate. A proprietorship establishes its existence through the registrations it holds — Udyam, GST, Shop & Establishment, a trade licence — which together are what a bank accepts to open a current account.
The trade-off is unlimited liability. Business debts are your personal debts, and business income is taxed at your personal slab rate.

Who can apply

Registration under GST becomes compulsory once turnover crosses the threshold for your state and supply type, and immediately for inter-state supply of goods.

What happens if you do not do this
There is no ROC penalty regime because there is no ROC filing. The exposure is elsewhere: trading without a required GST registration attracts penalty and interest on the tax that should have been collected, and operating a food business without an FSSAI licence is an offence.
What comes after
A proprietor files an income tax return each year on their personal PAN, and GST returns where registered. There is no annual return, no audit under the Companies Act, and no director KYC.
If the business grows or takes on risk, converting to an LLP or a private limited company is the usual next step.
Questions people actually ask
Is there a single "proprietorship registration certificate"?
No, and anyone offering one is selling you something else. A proprietorship is evidenced by the registrations it holds — typically Udyam plus GST or a Shop & Establishment licence. Those are what a bank accepts.
Do I need GST registration?
Only once you cross the turnover threshold for your state and supply type, or immediately if you make inter-state supplies of goods or sell through an e-commerce operator. Many small proprietors do not need it on day one.
Can I use my personal bank account?
You can, but you should not. A current account in the business name keeps the accounting clean and is what customers expect on an invoice.
How is a proprietorship taxed?
Business income is added to your personal income and taxed at your individual slab rate. There is no separate corporate rate.
Can I convert to a private limited company later?
Yes. It involves transferring assets and liabilities to the new company and is a distinct engagement.
