What this is
A one person company gives a single founder the benefits of a corporate structure — limited liability, a separate legal identity, perpetual succession — without requiring a second shareholder.
The defining feature is the nominee. At incorporation the sole member names a nominee who takes over the company on their death or incapacity, and that nominee's written consent forms part of the incorporation documents.
An OPC is well suited to a solo consultant or founder who wants liability protection now and may convert to a private limited company as the business grows.

Who can apply
Only a natural person who is an Indian citizen may incorporate an OPC, and that person may incorporate only one OPC and act as nominee for only one.
A nominee must be named at incorporation, and must also be a natural person and an Indian citizen.
An OPC cannot carry on non-banking financial investment activity and cannot be converted into a Section 8 company.

What happens if you do not do this
The same late-filing regime as a private limited company applies: ₹100 per day per form for AOC-4 and MGT-7, with no ceiling, and DIN deactivation for missed DIR-3 KYC.
What comes after
An OPC must appoint an auditor, file AOC-4 and MGT-7 annually, and file DIR-3 KYC. It does not need to hold an AGM. Where paid-up capital exceeds ₹50 lakh or average annual turnover exceeds ₹2 crore, conversion into a private or public limited company becomes mandatory.

Questions people actually ask
Do I really need a nominee?
Yes. Naming a nominee is a statutory requirement, and their written consent in Form INC-3 is part of the incorporation filing. The nominee has no rights in the company while you are alive and capable.
Can I change the nominee later?
Yes, by filing the prescribed form with the Registrar. The nominee may also withdraw their consent.
Can an OPC have employees?
Yes. The "one person" refers to membership, not staff. An OPC may employ any number of people and may have more than one director.
When must an OPC convert to a private limited company?
When paid-up capital exceeds ₹50 lakh or average annual turnover over three consecutive years exceeds ₹2 crore. Conversion is then mandatory.
Can an NRI incorporate an OPC?
The requirement is Indian citizenship. Residency rules for OPC incorporation have been relaxed, but citizenship remains mandatory — an NRI who is an Indian citizen may incorporate one.
